REVOLUTION STUDIO ESSENTIALS GRANT PROGRAM AGREEMENT


Section 1. Agreement (“Agreement”).

I (hereinafter referred to as “I,” “Me,” or “My”) acknowledge that by submitting my application to the Revolution Studio Essentials Grant Program (the “Program”) to Revolution Dancewear (“Revolution”), I accept and agree to the terms and conditions of the Program as set out in this Agreement, on My behalf and the entity on behalf of which I am acting in an official capacity, if any. I further acknowledge that My submission does not automatically render Me eligible for the Program, and that My eligibility to participate in the Program will be determined solely by Revolution as provided in this Agreement. I acknowledge that once deemed eligible for the Program, this Agreement governs My participation in the Program. I acknowledge that those persons (including Me), who are declared eligible will be referred to throughout this Agreement as “Participant”.

 

Section 2. Program.

I acknowledge that I have been advised to read and review this Agreement and to retain a copy for my records. To apply for the Program, the following must be provided:

 

  1. A completed grant application.
  2. Proof of business.
  3. If the Participant is a not-for-profit organization, (a) a current tax-exempt certificate from the U.S. Internal Revenue Service and (b) state incorporation documentation.
  4. If requested by Revolution, complete an interview with Revolution personnel.

 

By My submission, I acknowledge that all content submitted to Revolution under this Program may be used by Revolution in furtherance of the Program’s objectives, and unless My submission included a request for confidentiality, I further acknowledge and agree that all content provided to Revolution pursuant to the Program is considered property of Revolution and I hereby grant to Revolution an irrevocable license to use such content in furtherance of the Program’s objectives. Notwithstanding the foregoing, nothing in this Agreement shall obligate Revolution to publish or otherwise use any content provided by Me.

Information submitted to Revolution is subject to the Privacy Policy stated on https://www.revolutiondance.com/privacy-policy/.

Additionally, by applying for the Program, I waive all right to, and hold Revolution harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) arising out of or in connection with participation in the Program or the acceptance, use or misuse of any award under the program. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Revolution will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive award notices due to entrant's spam, junk e-mail, or other security settings or for entrant's provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Program; by any human error which may occur in the processing of the entries in this Program; or any typographical, technological, or other error in the publishing of the offer, administration of the Program, or announcement of the awards. Revolution reserves the right to, in its sole discretion, cancel or modify this Program.

 

Section 3. Restrictions.

(a) A Participant’s valid contact information must be provided in the grant application. Participant’s participation in the Program constitutes Participant’s permission for Revolution to use such contact information to communicate with Participant.

(b) Participants must be 18 years of age or older and have an address in the United States, Canada (excluding Quebec) or Puerto Rico.

(c) Participant acknowledges and agrees that their information and data may be used by Revolution in furtherance of the Program’s objectives.

(d) Participant must not have any political affiliation.

(e) Participant must not have a policy or history of discrimination against any person or group based on sex, race, disability, sexual orientation, gender identity or any other basis.

 

Section 4. Term of Program.

The Program shall remain in effect until the application deadline set forth in the Program’s guidelines. Revolution reserves the right to (a) modify the application period for the Program; (b) alter or modify the Program or this Agreement; and, (c) suspend or terminate the Program or this Agreement, or terminate a Participant’s participation in the Program, all at any time for any reason through a notice provided by Revolution. In the event a Participant is later determined not to be eligible for the Program after being notified that Participant was eligible, Participant’s participation in the Program will be terminated.

 

Section 5. Selection.

Participant understands that the Program’s Grant Committee is solely responsible for determining grant recipients and grant values. The Grant Committee will select recipients based on a diverse set of demographic and socioeconomic factors it considers most impactful in growing the dance community. The Grant Committee reserves the right to select or reject applications for the Program in its sole discretion.

 

Section 5. Controlling Law and Severability.

This Agreement shall be governed by and construed in accordance with the laws of the U.S. and the State of Illinois, without reference to its conflicts of law provisions. If for any reason a court of competent jurisdiction finds any provision of this Agreement, or a portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties and the remainder of this Agreement shall remain in full force and effect.

 

Section 6. Complete Agreement.

This Agreement constitutes the entire agreement with respect to the Program and supersedes any prior or contemporaneous understandings, representations, statements or agreements, written or oral. No amendment to, modification of, or waiver of any provision of, this Agreement will be binding on Revolution without written consent which must be identified as an amendment, modification or waiver.
